Vendor Service Agreement

Version 2026-10-24 · Last updated 24 October 2026

Draft. This document is awaiting final review by an Australian solicitor and may change. Items marked “To be confirmed” haven't been decided yet.

The agreement between Evntly and businesses that list their event services on Evntly.

The key points

  • You're an independent business. Your contract for event services is directly with your customer.
  • Listing on Evntly is currently free: no subscription, no commission and no booking fees. See Schedule 1.
  • You need a valid ABN. You're responsible for your own licences, permits, insurance, tax and GST. We strongly recommend public liability insurance.
  • Customers pay you directly. Evntly doesn't collect or hold booking payments.
  • Use customer details only for their enquiry or booking, keep them secure, and don't add customers to marketing lists without their consent.

This summary helps you find your way. The full text below is what applies.

1. About this Agreement

This Vendor Service Agreement (Agreement) is between you, the business listing services on Evntly (you, the Vendor), and Sai Mohnish Golem trading as Evntly (ABN 49 193 658 959) (Evntly, we, us).

It applies in addition to the Terms & Conditions and the Cancellation, Refund & Dispute Policy, which also bind you. If this Agreement and the Terms conflict on a vendor matter, this Agreement applies. Schedule 1 (Fees) forms part of this Agreement and is versioned separately.

You accept this Agreement and Schedule 1 when you tick the box while creating your listing, or when we ask you to accept an updated version. If you accept on behalf of a business, you confirm you're authorised to bind it.

2. Independent business relationship

You are an independent business. Nothing in this Agreement makes you Evntly's employee, worker, agent, partner or joint venturer. You decide which requests to accept, how and when you deliver your services, your prices and your own terms of trade (as long as they are lawful and consistent with this Agreement).

When a customer accepts your quote, the contract for the event services is between you and the customer. Evntly is not a party to it. You are responsible to the customer for supplying the services, including under the Australian Consumer Law (ACL).

You're responsible for your own staff and subcontractors, their pay, superannuation, taxes, insurance and conduct, and for work health and safety at your events.

3. Eligibility, ABN, licences and insurance

To list on Evntly you must be at least 18, carry on a genuine event-services business in Australia, and have a valid Australian Business Number (ABN) that belongs to you or the business you represent.

You must hold, and keep current, every licence, permit, registration, check and qualification required by law for your services, for example (where relevant) liquor or responsible service of alcohol approvals, food business notification or registration, working with children checks for events involving children, electrical test-and-tag of equipment, council or venue permits, CASA approval for drone photography, and authorisation as a marriage celebrant.

Insurance. We strongly recommend that you hold public liability insurance appropriate to your services (many venues require at least $10 million cover), and professional indemnity or equipment insurance where relevant. Evntly does not currently require or verify insurance. If you state on your listing that you are insured, that statement must be true and current, and you must provide evidence to us or a customer on request.

You must tell us promptly if you stop meeting these requirements.

4. Listing review and verification

We review new listings before they appear in search. We check that your ABN has a valid format, and we may check it against the Australian Business Register (ABN Lookup). We may ask you for further information or evidence (such as identity, licences or insurance) at any time. We may decline or remove a listing that doesn't meet this Agreement.

Our review is not a guarantee of your services, and you must not suggest that Evntly endorses, certifies or guarantees you. Badges such as "Founding vendor" are given at our discretion.

5. Accurate listings and advertising

Everything in your listing, portfolio, packages, quotes and messages must be accurate, current and not misleading or deceptive (ACL sections 18 and 29). In particular:

  • only show photos and videos of work you (or your business) actually performed, or that you have the right to use and that you clearly label;
  • keep prices, packages, inclusions, service area and availability up to date, and show whether prices include GST;
  • where you advertise a part of a price, also show the total price that a customer must pay, where the law requires it;
  • don't claim qualifications, awards, insurance, affiliations or reviews you don't have;
  • don't post fake reviews, review your own business or competitors, or offer customers anything in exchange for a review.

6. Service standards

You must:

  • respond to quote requests honestly and promptly (requests expire after 7 days without a response);
  • give customers clear quotes that state what's included, the total price, whether GST is included, any deposit and payment schedule, and your cancellation and rescheduling terms;
  • supply booked services with due care and skill, as described in your quote, and on time;
  • treat customers and other users with respect, and not discriminate unlawfully;
  • keep your calendar and availability up to date to avoid double bookings;
  • comply with all laws that apply to your business and services.

7. Bookings, cancellations and refunds

A booking is created when a customer accepts your quote. You must honour accepted quotes.

Your cancellation, rescheduling and deposit terms must be stated in your quote, be fair and transparent, and comply with the ACL and the unfair contract terms laws. They cannot exclude customers' rights under the consumer guarantees. A deposit that is not refundable should reflect a genuine estimate of the costs or loss you would suffer if the customer cancels.

If you need to cancel a booking, tell the customer (and Evntly, via the booking) as soon as possible and refund any money paid for services you won't provide, as the ACL and your contract require. Frequent or late cancellations may lead to suspension under section 14.

You must take part in good faith in Evntly's dispute process (see the Cancellation, Refund & Dispute Policy), including responding to a problem raised on a booking within 5 business days. To be confirmed: confirm the 5 business day vendor response expectation.

8. Payments from customers

While Evntly's online payments are switched off, customers pay you directly, using the payment method and details you give them. Evntly does not collect, hold, release or refund booking payments, and you must not tell customers that Evntly holds, guarantees or protects their payment.

You're responsible for giving customers accurate payment details, issuing receipts, and refunding customers where required. Never ask a customer to send money to anyone other than your business.

If Evntly introduces integrated payments in future, they will only apply to you after we update this Agreement and Schedule 1 and you accept the updated versions.

9. Fees

The fees you pay Evntly, if any, are set out in Schedule 1. Listing on Evntly is currently free.

We will give you at least 30 days' notice by email before introducing or increasing any fee. A new or increased fee will only apply to bookings made after it takes effect, and only once you've accepted the updated Schedule 1. If you don't accept it, you can close your listing at any time without charge.

10. GST, tax and invoices

You're responsible for your own tax obligations, including income tax, GST registration and GST on your services. Evntly doesn't give tax advice.

Evntly can generate a booking invoice for you using the details you provide (such as your business name, ABN and GST status). The invoice is issued by you, in your name. You're responsible for making sure it is accurate and, if you're registered for GST, that it meets the requirements for a tax invoice.

11. Customer information

Through Evntly you'll receive customers' personal information, such as names, event details and, after a booking, email addresses, phone numbers and event addresses. You must:

  • use it only to respond to that customer's enquiry and to provide and administer the booked services;
  • not add customers to a marketing list or send them marketing messages unless they have consented, in line with the *Spam Act 2003*;
  • not sell, share or disclose it to anyone else except as needed to provide the booked services (for example a second shooter working for you);
  • keep it secure, and delete or de-identify it when you no longer need it for the booking or your legal record-keeping;
  • comply with the *Privacy Act 1988* (Cth) if it applies to you; and
  • tell us promptly at hello@evntlyapp.com if you become aware of unauthorised access to customer information you received through Evntly.

Don't try to get around the contact-detail protections before a booking exists.

12. Your content and intellectual property

You keep ownership of your listing content, photos, videos and logos (Vendor Content). You confirm that you own it or have permission to use it on Evntly, that anyone identifiable in it has agreed to it being used to promote your business where the law requires, and that it doesn't infringe anyone's rights.

You give Evntly a non-exclusive, royalty-free, worldwide licence to host, reproduce, display, resize and format your Vendor Content on the Platform, and to use your business name, listing details and Vendor Content in promoting your listing and Evntly (for example in search results, emails, and social media posts featuring your listing). You can ask us to stop using your content in promotional material at any time, and we'll stop using it in new material.

This licence ends when you delete the content or close your listing, except for backups deleted in the normal course and promotional material already published.

13. Responsibility and indemnity

You are responsible for the services you provide and for your conduct towards customers and other users.

You agree to compensate Evntly for any loss, cost or liability (including reasonable legal costs) arising from a third-party claim, to the extent it is caused by: your services; your breach of this Agreement or the law; your Vendor Content infringing someone's rights; or your negligent or wrongful acts. This doesn't apply to the extent the loss was caused or contributed to by Evntly's own breach, negligence or wrongful act.

We provide the Platform with due care and skill, but we don't guarantee that it will always be available, that you'll receive any number of enquiries or bookings, or that customers will pay you. To the extent permitted by law, we're not liable to you for loss of profit, revenue or opportunity, or loss that was not reasonably foreseeable, and our liability is reduced to the extent you or a third party caused or contributed to the loss. Nothing in this Agreement excludes rights you have under the ACL that can't be excluded.

To be confirmed: whether to cap Evntly's liability to vendors (e.g. to fees paid in the previous 12 months, or a fixed amount while listing is free) — solicitor to advise.

14. Suspension and removal

We may pause, hide or suspend your listing or account, or remove content, if we reasonably believe that:

  • you have seriously or repeatedly breached this Agreement or the Terms;
  • you no longer meet the eligibility requirements in section 3 (for example your ABN is cancelled);
  • your listing is misleading, or customers are at risk of harm, fraud or loss;
  • you have repeatedly cancelled bookings, failed to deliver booked services, or had substantiated complaints against you; or
  • we are required to by law or a regulator.

Unless there is a risk of harm, fraud or a legal reason not to, we'll tell you the reason and give you a reasonable opportunity (usually at least 7 days) to respond or fix the problem first. If we act straight away, we'll tell you why as soon as practicable afterwards. You can ask us to review a decision by emailing hello@evntlyapp.com within 14 days.

Suspension doesn't cancel your existing bookings. You must still honour them, or cancel them in line with your contract with the customer and the ACL.

15. Ending this Agreement

You can close your listing at any time from your vendor dashboard, or by emailing us. We can end this Agreement by giving you 30 days' notice, or straight away in the circumstances in section 14 where the breach is serious or can't be fixed.

When this Agreement ends, your listing is removed from the Platform. Sections 10 to 13 and any obligations to customers under existing bookings continue to apply.

16. Changes to this Agreement

We may update this Agreement or Schedule 1. For a material change we'll give you at least 30 days' notice by email (or less if needed for legal, security or safety reasons, which we'll explain), and ask you to accept the new version. Changes don't apply to bookings made before they take effect. If you don't agree, you can close your listing without charge. You won't be able to create new listings or apply to events until you accept the current version.

17. General

This Agreement is governed by the laws of New South Wales and applicable Commonwealth law, and each party submits to the non-exclusive jurisdiction of the courts of New South Wales. If part of it is unenforceable, it is read down or severed and the rest continues. Notices may be given by email. You may not transfer this Agreement without our consent; we may transfer it to a business that takes over the Platform if your rights are not reduced.
